Terms and Conditions for Lemon General's Business Affiliate Program

1. Program Eligibility:

The Business Affiliate Program is open to anyone over the age of 18, including individuals, business owners, and managers, regardless of their business status. Participants must comply with these terms and conditions and adhere to all applicable laws and ethical standards. Lemon General reserves the right to accept or reject any participant at its sole discretion.

2. Referral Process:

Participants in the Business Affiliate Program must refer potential clients to Lemon General by providing a direct introduction to the Lemon General team. This can be done through email, phone, or a personal meeting, ensuring that the potential client is aware of the referral. All referrals must include the potential client's contact information and a brief description of their external cleaning needs. Lemon General will then follow up on the referral to assess and potentially engage the client. Participants are encouraged to ensure that their referrals are informed and have consented to their contact details being shared with Lemon General.

3. Commission Structure:

An affiliate earns a 10% commission on the first service's invoice amount (excluding VAT) for each new client they refer. If the client continues to use our services for up to 12 months after the first service, the affiliate receives a 5% commission on every subsequent service's invoice amount (excluding VAT).

3.1 Service Non-Completion Report and Dispute Resolution:

Non-Completion Notification: In the event that a scheduled cleaning service is not completed as planned, Lemon General will issue a Non-Completion Report to the referring affiliate. This report will detail the reasons for non-completion and any relevant circumstances, ensuring transparency and clarity in commission eligibility.

Data Protection Compliance: The handling and sharing of any information within the Non-Completion Report will be in strict compliance with GDPR principles, ensuring the protection and privacy of all involved parties' data.

Dispute Resolution: Should disputes arise concerning service completion or related commission payments, Lemon General and the affiliate commit to resolving the matter through good faith discussions, utilizing the Non-Completion Report and any other necessary documentation while adhering to data protection standards.

4. Payment of Commissions:

Commissions are paid within 5 working days after we receive payment from the client for the service. Payments are made directly to the affiliate's bank account as specified during the affiliate registration process.

5. Duration and Scope:

Affiliates earn a 10% commission for each new customer they refer. For recurring jobs, we'll pay a 5% commission for each clean within the first 12 months.

Commissions are only paid on the originally referred service, not on any additional services we might provide to the customer directly. Affiliates can refer as many customers as they wish.

6. Affiliate Obligations:

Affiliates must promote Lemon General in a positive and professional manner. They should only refer clients genuinely interested in our external cleaning services. It's important that affiliates do not engage with or promote competitors' services to clients they have referred to us. All referrals should be made in good faith, with the intent of establishing a beneficial relationship between the referred client and Lemon General Ltd.

7. Confidentiality:

Affiliates must keep all information about Lemon General's services, pricing, and client interactions confidential. This includes not sharing any sensitive or proprietary information with third parties without explicit permission from Lemon General. The confidentiality obligation is designed to protect both the business interests of Lemon General and the privacy of the clients involved.

8. Exclusions:

Commissions are only paid on referrals that lead to contracts valued at £500 or more per service, and only for jobs within Lemon General's operational capacity and service area. Furthermore, only commissions that have been explicitly approved and agreed upon by Lemon General will be eligible for payment. Affiliates should ensure their referrals align with Lemon General's service offerings and operational capabilities to qualify for commission payments.

9. Program Modification and Termination:

Lemon General reserves the right to modify, suspend, or terminate the Business Affiliate Program at any time due to operational needs, changes in business strategy, or unforeseen circumstances such as economic crises, wars, or bankruptcy. In such events, affiliates will be notified as soon as possible. However, Lemon General may not be able to pay accrued commissions if the termination or modification is a result of financial inability, including but not limited to bankruptcy or severe economic downturns.

10. Dispute Resolution:

Should any disputes arise under the Business Affiliate Program, Lemon General and the affiliate agree to first attempt resolution through direct communication, aiming for a mutually satisfactory outcome. If direct resolution is not achieved, the matter may proceed to mediation with an impartial third-party mediator agreed upon by both parties. If mediation fails to resolve the dispute, the matter may then be referred to binding arbitration in accordance with the laws of England, UK, with both parties agreeing to accept the arbitrator's decision as final.

This dispute resolution process is designed to provide a structured approach to resolving conflicts, respecting the principles outlined in the "Acknowledgement and Limitation of Actions" clause. It ensures that, except in cases of Lemon General's gross negligence, willful misconduct, fraud, or as otherwise required by law, the resolution of disputes will be sought through the outlined mechanisms rather than through litigation.

11. Governing Law:

These terms and conditions are governed by the laws of England, UK, and any disputes relating to them will be subject to the exclusive jurisdiction of the English courts.

Additional Provisions:

12. Data Protection and Privacy:

In compliance with the UK GDPR and the Data Protection Act 2018, any personal data acquired during the referral process will be processed lawfully, fairly, and in a transparent manner.

13. Anti-Bribery and Corruption:

All parties agree to adhere to the principles of the UK Bribery Act 2010, ensuring that no practices or actions under the affiliate program constitute bribery or corrupt activities.

14. Fair Representation:

Affiliates must represent Lemon General's services accurately, avoiding any misleading or false claims, in alignment with the Consumer Protection from Unfair Trading Regulations 2008.

15. Intellectual Property:

Use of Lemon General’s trademarks, logos, or any other intellectual property must be pre-approved by Lemon General, ensuring respect for intellectual property rights.

16. Compliance with Laws:

The affiliate program and all related activities shall comply with all applicable laws, statutes, regulations, and codes of practice in the UK.

17. Indemnification:

Affiliates agree to indemnify and hold harmless Lemon General against any losses, damages, or claims arising from a breach of these terms or any negligent acts.

18. Conflict of Interest:

Affiliates must disclose any potential conflicts of interest that may influence their participation in the program.

19. Acknowledgement and Limitation of Actions:

By participating in Lemon General's Business Affiliate Program, affiliates affirm their understanding and acceptance of these terms and conditions as the governing framework for their involvement. Participants acknowledge that they have freely chosen to enter this program, fully informed of their rights and the program's structure.

Affiliates agree that, to the fullest extent permitted by law, they will not initiate legal proceedings against Lemon General in relation to their participation in this program, except where such proceedings arise from Lemon General's failure to comply with applicable law, gross negligence, willful misconduct, or fraud. This agreement does not preclude affiliates from seeking remedies through non-waivable statutory or regulatory rights afforded to them under English law.

Nothing in these terms and conditions shall limit or exclude Lemon General's liability for:

Death or personal injury caused by its negligence;

Fraud or fraudulent misrepresentation;

Any other liability that cannot be limited or excluded by law.

This clause is intended to be interpreted in a manner that is fair and reasonable to both parties and in compliance with the Unfair Contract Terms Act 1977 and the Consumer Rights Act 2015.
